In accordance with Tokmanni’s governance model, its management falls within the responsibility of the General Meeting of Shareholders, the Board of Directors and the CEO, whose duties are primarily determined in line with the Finnish Limited Liability Companies Act.
The Annual General Meeting elects the members of the Board of Directors and appoints the auditors. The Board of Directors is responsible for the company’s strategic management, and its work is supported by the Finance and Audit Committee and the Sustainability and Personnel Committee. Among other things, the Board of Directors appoints the CEO, who is responsible for the company’s day-to-day management.
The Executive Team is responsible for the management of the Group’s business operations as a whole. The members have specific authorisations in their respective areas of responsibility, and are obligated to develop the Group’s operations in line with the targets set by the Board and the CEO. The CEO is responsible for managing the business operations and administration in accordance with the Articles of Association, the Limited Liability Companies Act and the instructions provided by the Board. The Executive Team supports the CEO in managing the Group.
