sustainability management and organisation
At Tokmanni Group, sustainability is a part of the company’s strategy and day-to-day business operations. Sustainability work is guided by the business strategy, by company’s purpose, values and Code of Conduct. We have robust sustainability programs covering the focus areas Business Integrity, People, Products and Sourcing, and Climate.
Structure and processes of governance in sustainability
Tokmanni Group’s Board of Directors holds the highest responsibility for overseeing sustainability. The roles and responsibilities of Tokmanni Group’s governing bodies are defined by the Articles of Association, applicable legislation, and decisions made by the General Meeting. The Board’s duties are further detailed in its Rules of Procedure. Governance practices, including finance and audit processes, are described in the Corporate Governance Statement.
The Board’s committees operate under formal mandates. The Finance and Audit Committee oversees financial reporting, internal control, and risk management, while the Sustainability and Personnel Committee focuses on ESG matters, including the quality and reliability of sustainability reporting. The CEO, appointed by the Board, is responsible for day-to-day management. The Executive Team Members’ responsibilities and authorisations are clearly defined, with each member’s role formalised in written agreements.
Board’s committees
The Board is supported by two committees: the Finance and Audit Committee and the Sustainability and Personnel Committee. The latter plays a key role in guiding the Group’s sustainability work and ensuring that environmental, social, and governance (ESG) topics are addressed at the strategic level.
The Sustainability and Personnel Committee assists the Board of Directors of Tokmanni Group in matters that concern the environment, society, and good governance (ESG). The Committee receives updates and information about the performance and progress against the targets according to the agreed schedule.

Material sustainability topics

Environment
Our business model focuses on selling physical products. Therefore, operations cause emissions, waste, use of resources and land, effecting societal challenges like climate change and resource crisis in short, medium and long-term. Considering the business model, the material impacts relate to energy, products, sourcing, logistics and waste.
We have identified impacts in three topics relating to climate change: climate change adaptation, climate change mitigation and energy. Impacts on resource use and circular economy were identified as material in three topics: resource inflows, resource outflows and waste.

People
Our employees and their well-being are our priority. Creating an excellent workplace and focusing on diversity and equal opportunities are important for both retaining our existing talent and recruiting new employees in the Tokmanni Group. Tokmanni has identified workplace well-being and occupational accidents as material impacts affecting its own personnel. These are particularly related to working conditions, equality and promoting diversity.
Supplier relations are critical factor for Tokmanni Group’s success in both business and sustainability. Tokmanni Group’s current principles and guidelines cannot guarantee a complete lack of unfair working conditions in its value chain. This means that we invest in the well-being of employees in the value chain and in equal treatment and opportunities, especially in high-risk countries where the risk of human rights violations is high.
We are responsible for ensuring safety and quality of the products sold to customers. Since Tokmanni Group is operating in the retail sector, understanding customers and meeting their needs is the key to success and longevity of the business.
